Terms of Service

These Terms of Service ("Terms") govern your use of the Rentium property management platform (the "Service"), operated by AB Sky & Design LLC, a Texas limited liability company ("Rentium," "we," "us"). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization.

1. The Service

Rentium provides software for managing rental properties, including properties, units, leases, rent payments, maintenance requests, documents, and messaging. The Service is offered to three types of users — property managers, landlords, and tenants — each with access scoped to their role.

2. Accounts and Eligibility

You must provide accurate information when creating an account and keep it up to date. You are responsible for safeguarding your login credentials and for all activity under your account. You must be at least 18 years old to use the Service.

3. Acceptable Use

You agree not to misuse the Service, including by: attempting to access data belonging to another organization or user; reverse engineering or disrupting the Service; uploading unlawful, infringing, or malicious content; or using the Service to violate applicable landlord-tenant, fair-housing, privacy, or financial laws.

4. Subscriptions and Fees

Paid plans are billed on a per-unit subscription basis according to the pricing published on our pricing page, which is incorporated into these Terms. Subscription fees are based on the number of units in your account and the applicable pricing tier. Smaller portfolios may qualify for a free tier as described on the pricing page.

Subscriptions renew automatically each billing period until cancelled. You may cancel at any time; cancellation takes effect at the end of the current billing period. Except where required by law, fees are non-refundable.

We may change pricing prospectively; we will provide notice of material changes, and continued use after a change takes effect constitutes acceptance.

5. Rent Payments and Processing

Rent and related payments are processed by Stripe, Inc. ("Stripe"), and your use of payment features is also subject to Stripe's terms. Organizations that receive rent payouts through the Service do so via a Stripe connected account and additionally agree to the Stripe Connected Account Agreement, including the Stripe Terms of Service. Rent paid through the Service is routed to the receiving organization's connected account and paid out to that organization's bank on Stripe's payout schedule — Rentium does not hold or pool rent funds.

By initiating a bank (ACH) payment you authorize Rentium, through Stripe, to debit the designated bank account for the amount of that payment. ACH debits may be revoked as permitted by NACHA rules and your bank's procedures. Any processing fee applicable to a payment is disclosed at the time of payment and is charged to the paying party.

ACH payments take several business days to clear. A payment is not considered settled until Rentium receives confirmation of success from the payment processor. Rentium is a software provider and is not a bank, money transmitter, escrow agent, or party to the lease between landlord and tenant. Refunds of rent payments are handled between the tenant and the receiving organization; contact your property manager first for any payment dispute.

6. Electronic Communications and Signatures

By using the Service you consent to receive communications from us electronically — including notices, receipts, statements, and disclosures — by email or within the Service, and you agree that electronic communications satisfy any legal requirement that they be in writing. You also agree that your electronic acceptance of these Terms and other agreements in the Service constitutes a valid signature under applicable law, including the U.S. E-SIGN Act. You may withdraw this consent by closing your account; to receive communications you need a device with internet access and a current email address on file.

7. Customer Data and Ownership

As between you and Rentium, you retain ownership of the data you submit ("Customer Data"). You grant us a limited license to host, process, and display Customer Data solely to provide and improve the Service. Our handling of personal information is described in our Privacy Policy.

Property managers and landlords are responsible for the accuracy and lawful use of the tenant and property data they enter, including obtaining any necessary consents.

8. Rentium Intellectual Property

The Service, including all software, designs, text, graphics, the "Rentium" name and logo, and all related intellectual property, is owned by Rentium or its licensors and is protected by law. These Terms grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose while these Terms are in effect. Except as expressly permitted, you may not copy, modify, distribute, sell, or create derivative works from the Service, and you may not use our name or marks without our prior written consent. Any feedback or suggestions you provide may be used by us without restriction or obligation to you.

9. Tenant Screening and Applicant Data

Some features let managers and landlords record and review rental applications and screening information — such as income, employment, references, credit indicators, and background details. Screening information is entered and controlled by the manager or landlord. Rentium does not procure, assemble, furnish, or resell consumer reports, does not perform credit or background checks, and is not a "consumer reporting agency" under the federal Fair Credit Reporting Act ("FCRA") or any comparable state law.

Any score, label, summary, or recommendation shown in connection with an application is informational only, is provided to assist your own review, and is not a decision, an endorsement, or an adverse-action determination by Rentium. You are solely responsible for your application and leasing decisions and for complying with all laws that apply to them, including the FCRA (including any required disclosures and adverse-action notices), the Fair Housing Act and state and local fair-housing laws, and any limits on the use of criminal, eviction, or credit history in tenant screening.

You represent and warrant that you have a permissible purpose and any required consent to collect, upload, and use any screening or applicant information you place in the Service.

10. Rentium's Role — Software Only

Rentium provides software tools. Rentium is not a landlord, property manager, real-estate broker or agent, escrow agent, bank, money transmitter, collection agency, consumer reporting agency, or law firm, and is not a party to any lease, rental application, or other agreement between managers, landlords, tenants, applicants, or vendors. Rentium does not provide legal, tax, accounting, financial, or real-estate advice, and information in the Service is not a substitute for professional advice. Decisions you make using the Service — including who to rent to, how to handle deposits and rent, and how to comply with landlord-tenant law — are yours alone.

11. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure. You are responsible for compliance with the laws that apply to your properties, including security-deposit and landlord-tenant requirements in each jurisdiction.

12. Limitation of Liability

To the maximum extent permitted by law, Rentium will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data. Our total liability arising out of or relating to the Service will not exceed the greater of the amounts you paid us for the Service in the twelve months before the event giving rise to the claim, or one hundred U.S. dollars (US$100).

Nothing in these Terms limits liability that cannot be limited under applicable law, such as liability for gross negligence, willful misconduct, or fraud. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

13. Indemnification

You agree to defend, indemnify, and hold harmless Rentium and its members, officers, and employees from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: your Customer Data; your use of the Service; your violation of these Terms or of any law; and your obligations as a landlord, property manager, or housing provider, including claims relating to leases, evictions, security deposits, rent handling and trust-accounting, tenant screening, and fair-housing or FCRA compliance. We may assume the exclusive defense of any matter subject to indemnification, in which case you will cooperate with us.

14. Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate access if you violate these Terms or to protect the Service or other users. Upon termination, your right to use the Service ends; certain provisions (such as fees owed, intellectual-property rights, disclaimers, limitations of liability, and indemnification) survive.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in Texas, except where applicable law provides otherwise.

To the fullest extent permitted by law, each party waives any right to a jury trial in any dispute arising out of or relating to these Terms or the Service.

16. General

These Terms, together with the Privacy Policy and the pricing page, are the entire agreement between you and Rentium regarding the Service and supersede prior agreements on that subject. You may not assign these Terms without our consent; we may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets. If any provision is found unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver. Neither party is liable for delays or failures caused by events beyond its reasonable control. There are no third-party beneficiaries to these Terms.

17. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above and, where appropriate, by additional notice before the changes take effect. Continued use after changes take effect constitutes acceptance.
